These Terms of Service (“Terms”) apply to all visitors and users of the Impact PM Solutions website, and to any client who engages us to provide administrative, project-management, or operational consultancy services.

By using the website or entering into a service agreement with us, you agree to these Terms. If you do not agree, please do not use the site or engage our services.

Impact PM Solutions provides administrative support, project-management, and operational consultancy to B2B SaaS companies. Specific services, deliverables, fees, and timelines are set out in a separate statement of work, proposal, or service agreement agreed between us and the client.

All professional advice is tailored to the information you provide. We do not provide legal, financial, tax, or insurance advice unless explicitly agreed in writing.

You may use the website only for lawful purposes. You agree not to:

• Use the site in any way that could damage, disable, or impair it or interfere with any other party’s use.
• Attempt to gain unauthorised access to any part of the site, its systems, or data.
• Use the site to distribute malicious software, spam, or unlawful content.

We reserve the right to suspend or restrict access to the website if these rules are violated.

To enable us to deliver services effectively, clients agree to:

• Provide accurate, timely, and complete information and access reasonably required for our work.
• Appoint a primary point of contact and respond to requests within agreed timeframes.
• Ensure they have authority to share any data, documents, or system access granted to us.
• Use our deliverables responsibly and in accordance with any agreed scope or instructions.

Fees for services are set out in the applicable proposal or agreement. Unless otherwise agreed:

• Invoices are issued monthly or at project milestones as agreed.
• Payment is due within 14 days of the invoice date unless a different term is agreed in writing.
• Late payments may be subject to interest and recovery costs in accordance with applicable law.

All fees exclude applicable taxes unless explicitly stated otherwise.

We respect the confidentiality of client information and will only use it for the purposes of delivering agreed services. Both parties agree to keep confidential any information marked as confidential or that should reasonably be understood as confidential, and to protect it with reasonable care.

This obligation does not apply to information that is publicly available, already known, independently developed, or required to be disclosed by law.

Any materials, templates, or methodologies we create specifically for a client and paid for under the service agreement become the client’s property upon full payment, unless otherwise agreed in writing. General know-how, processes, and pre-existing materials we bring to the engagement remain our property.

All content on the website — including text, design, and branding — is owned by Impact PM Solutions and may not be copied or reused without permission.

To the fullest extent permitted by law, Impact PM Solutions will not be liable for any indirect, consequential, or special loss or damage arising out of or in connection with the website or our services. Our total liability for any claim will be limited to the fees paid by the client for the services giving rise to the claim in the 12 months preceding the claim.

Nothing in these Terms excludes or limits liability for fraud, death, personal injury, or any other liability that cannot be excluded under applicable law.

Either party may terminate a service agreement in accordance with the terms set out in that agreement. On termination, the client remains liable for any fees for services performed up to the termination date, and we will return or destroy client materials as agreed.

We may suspend or terminate access to the website at any time for any reason without notice.

These Terms and any dispute arising from them are governed by the laws of England and Wales, and the parties submit to the exclusive jurisdiction of the courts of England and Wales.

We may update these Terms from time to time. The latest version will be posted on this page with an updated “Last updated” date. Continued use of the website or our services after changes constitutes acceptance of the revised Terms.
